Annual General Meeting
Dear Burnaby Velodrome Club Member,
Notice is hereby given that the Burnaby Velodrome Club – BC Society number S-36945 – will hold a Special General Meeting on Wednesday, November 1st at 2000 hrs. This meeting is open to all members in good standing and will be held at the Burnaby Velodrome.
As a follow up to last year’s AGM, the BVC Board of Directors is proposing amendments to the By-Laws in order to enable transitioning to a system where Board Members would be elected for 2 year staggered terms as opposed to the current 1 year term. By adopting the 2 year term concept, it is expected that continuity will be improved over the long run.
In addition, the Board of Directors proposes that the BVC officers (President, Vice-President, Treasurer and Secretary) continue to be elected on an annual basis, however, the officers would be elected by the Board of Directors at the first Board of Directors meeting immediately following the AGM. The positions must be filled from the persons comprising the Board of Directors.
If approved by the membership at the Special General Meeting, the affected BVC By-Laws would be modified as per below.
“Article 43. Directors shall hold office for a period of two years (2). Directors shall be elected on staggered two year terms with half (or nearest round number) to be elected in one year, and the remainder in the next.
Article 44. A separate election must be held for each director position to be filled.
Article 44a). All officers shall be elected for terms of one year by the Board of Directors. The President, Vice-President, Secretary and Treasurer must be chosen from those persons comprising the Board of Directors.”
Furthermore, in order to ensure a seamless transition to “staggered 2 year terms”, a motion to address the 2023 election will have to be approved by the general membership:
“For the purpose of the 2023 Election of Directors to take place at the AGM, all current Board of Director members will be stepping down as stipulated by our current by-laws. However, in order to transition to “staggered 2 year terms”, we will be electing half of the Board of Directors for a 1 year term, and the other half will be elected for a 2 year term. This motion is only relevant for the 2023 election.”
