SoftBank Corp. (the “Company”) announces that the Company acquired shares of Scigineer Inc. (“Scigineer”) from its shareholders DCM V, L.P. and DCM AFFILIATES FUND V, L.P. (the “Transaction”) on March 13, 2015 as below, based on a decision previously made. The Transaction qualifies as the act specified by Cabinet Order as being equivalent to a tender offer, as prescribed in Article 167, Paragraph 1, of the Financial Instruments and Exchange Act and Article 31 of the Order for Enforcement of the Financial Instruments and Exchange Act, and therefore is subject to public disclosure.
The Company's share of voting rights in Scigineer (including indirectly-held voting rights) is 33.21% after the Transaction.
